Business Transactions

Doing business in the United States is challenging, but absolutely exhilarating in that an almost limitless marketplace allows anyone (theoretically) to realize their dream.  The variety of good s and services available in our economy is still steadily growing, and changing with societal preferences.  Many of our clients are in business for themselves, and meet these challenges on a daily basis.

Often, businesses seek legal advice because they are planning to go to the next level, or branch out into a less familiar activity.  The questions that arise generally concern capitalization and financing, protecting the existing business core, or possible governmental regulation of the new endeavor.

Sometimes, a change in the business requires bringing in new people or other resources, or even merging with another existing company.  The experienced lawyer provides an intelligent outside view of the proposal from a person whose job it is to protect you and help you reach your objective.

People in business also become involved in disputes which can threaten the future of the enterprise.  Experienced lawyers are there once again to tell you where you sit, what is your relationship to the other players, what are your alternatives and the factors which influence their viability.  Once decisions are made, lawyers implement those decisions by creating the documents needed to memorialize them.

Business transactions also include purchases and sales of businesses.  As businesses grow, they become more complex, so that knowledge of more areas of the law is needed to plan, prepare and execute the transactions through which businesses change hands.  Each transaction is unique.  Each player has his own objectives and priorities.  The attorney must listen very closely to everyone concerned in order to structure a deal which uses bargaining power to advantage, but also is attractive enough so that everyone will accept it.

We not only do business transactions, but have done business transactions for most of our careers.  We can provide a wealth of experience in counseling clients in most of these unique situations.
